1. About us and these terms
By using exsolvium.com (the “Website”) you agree to these terms, so please read them before you continue. If you do not agree, do not use the Website.
The Website is operated by Exsolvium [Limited – confirm legal name], a company registered in England and Wales under number [insert], with its registered office at [insert address] (“Exsolvium”, “we”, “us”). You can contact us at [email – insert]. [VAT number, if applicable: insert.]
We provide consultancy and recruitment services to clients in the oil and gas, energy and infrastructure industries. These terms govern use of the Website only. Our consultancy and recruitment services are provided under separate written agreements, which take priority over these terms if they conflict.
2. Using the Website
You may use the Website for lawful purposes only, to learn about our services, view opportunities, and contact us. You must not:
- use the Website in any way that breaks a law or regulation, including export control, sanctions and anti-corruption laws;
- copy, scrape, harvest or extract data from the Website, including contact details or job listings, by automated means or otherwise, without our written permission;
- introduce viruses, malware or any other harmful or disruptive material, or attempt to gain unauthorised access to the Website, our systems or other users’ data;
- overload or interfere with the Website, or bypass its security;
- use the Website to send unsolicited marketing, or to contact our staff or clients for recruitment, solicitation or competing purposes;
- impersonate any person, or submit false, misleading or fraudulent information.
You are responsible for your own device, internet connection and any equipment needed to access the Website.
3. Job listings, CV submissions and our services
Information on the Website about roles, projects and services is an invitation to get in touch, not an offer. Nothing on the Website creates a contract of employment, engagement or services, or guarantees a role, interview, placement or fee. A contract with you or a client arises only when a written agreement is signed by us.
Roles may be filled, changed or withdrawn at any time without notice. Some listings are advertised on behalf of clients and may not name them.
We act as an employment business or employment agency depending on the arrangement. We do not charge work-seekers a fee for finding them work. If you submit a CV or application, we will handle it as set out in our [Privacy Policy – link]. Submitting a CV does not oblige us to contact you or put you forward.
4. Content you submit
This covers any CV, document, message or other material you send us through the Website (“Your Content”). You confirm that Your Content is accurate and not misleading, that you have the right to provide it (including any third party’s details, such as a referee’s), and that it does not infringe anyone’s rights or contain unlawful, offensive or malicious material.
You keep ownership of Your Content. You give us a non-exclusive, royalty-free licence to use, store, copy and share it for recruitment, client matching and our business operations, as described in our Privacy Policy. We may remove or refuse any content at our discretion.
5. Intellectual property
We own or license all intellectual property rights in the Website and its content, including text, graphics, logos, design, software and the Exsolvium name. These rights are protected by UK and international law, and all rights are reserved.
You may view the Website and print or download extracts for your personal, non-commercial use, or to consider using our services, as long as you keep all copyright and other notices. You must not reproduce, publish, modify, distribute or commercially exploit any part of the Website without our prior written consent.
6. Accuracy of information and third-party links
We try to keep the Website accurate and up to date, but the content is general information only. It is not professional, technical, legal, financial or engineering advice, and you should not rely on it as such. Please take specific advice before acting on anything you read here.
The Website may link to third-party sites, such as job boards and social media. We do not control or endorse them, and we are not responsible for their content, availability or privacy practices. Using them is at your own risk and subject to their terms.
7. Our liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded. If you are a consumer, your statutory rights are not affected.
Subject to that, and as far as the law allows:
- the Website and its content are provided “as is” and “as available”, and we give no warranty that they are accurate, complete, uninterrupted or free from errors or viruses;
- we are not liable for any loss arising from your use of, or inability to use, the Website, or from reliance on its content, including loss of profit, revenue, business, data or goodwill, or any indirect or consequential loss;
- our total liability to you in connection with the Website, whether in contract, tort (including negligence) or otherwise, is limited to £[insert amount, for example 100].
This section applies only to your use of the Website. The liability terms of any agreement for our services are set out in that agreement.
8. Security, availability and suspension
We do not guarantee that the Website will always be available or secure. We may suspend, restrict or withdraw it, or any part of it, at any time, for example for maintenance or security reasons, without liability.
If we believe you have breached these terms, we may block your access and take any steps the law allows. We may report unlawful activity to the relevant authorities. Please do not send us sensitive documents, such as passport or bank details, through general website forms unless we have asked you to.
9. Privacy, cookies and legal compliance
How we collect and use personal data is explained in our [Privacy Policy – link], and how we use cookies in our [Cookie Policy – link]. By using the Website you acknowledge that you have read them.
We operate internationally and comply with applicable anti-bribery, anti-corruption, sanctions and export control laws, including the UK Bribery Act 2010. You must not use the Website in breach of those laws, and you must not use it if you are a person or entity subject to UK, UN, EU or US sanctions. The Website is intended for users worldwide, but you are responsible for complying with the laws where you are.
10. Changes, general terms and governing law
Changes. We may update these terms from time to time. The version on the Website when you use it applies to you, and the date at the top shows when it was last changed. Continued use after a change means you accept it.
General. These terms, with our Privacy Policy and Cookie Policy, are the entire agreement between us about your use of the Website. If any part is found unenforceable, the rest stays in force. A failure or delay in enforcing a right is not a waiver of it. You may not transfer your rights under these terms. Someone who is not a party to these terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
Governing law. These terms and any dispute or claim arising from them or the Website, including non-contractual disputes, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living elsewhere in the UK, you may bring proceedings in your home courts, and you keep any mandatory consumer protections under the law of your country of residence.
Contact. Questions about these terms: [email – insert], or by post to Exsolvium, [registered address – insert].
